RSA Legal – Opportunity Announcement

As RSA is preparing to divest from Dell, a portion of the role will be implementing what RSA will need to establish standalone legal operations in the region.
Responsibility 1 – Operational
The candidate will be responsible for reviewing and negotiating contracts with customers of RSA, a provider of cyber security products and services, including risk assessment and alternate positions to support the negotiations whilst ensuring compliance to company policy, legal and regulatory requirements. The role will involve providing contract support to RSA Sales team in Japan on software licensing, professional services, cloud service, and hosting services transactions, and will also require interaction with internal RSA stakeholders (such as Sales, Services, Delivery, Finance/Revenue Recognition, Sales Operations, Tax, HR, Information Security), as well as with RSA partners, customers and their respective counsel. Other responsibilities include:
Managing signature process once contracts have been finalised and approved Support for updating and maintaining the APAC – Japan contracts and templates databases, including preparing or obtaining translations from English to Japanese and vice versa Assist with any other Legal team administrative tasks relating to Japan and APAC Coordinating deadlines and working with the sales teams to obtain approvals for non-standard deals Provide practical advice and guidance to sales teams relating to contract discussion/negotiation Build strong working relationships with Japan sales teams, including sales ops, and with corporate functions in APAC/EMEA/US Explaining contractual terms to sales teams and interested parties, as required Acting as a general facilitator – bridging cultural/language gaps between Japanese customers and partners and global stakeholders Collaborating closely with the APJ/EMEA/US Legal team, Japan sales operations and business functions on all contractual documents and databases Serving as the first point of contact on legal and contract matters in Japan Review and negotiate NDAs through to signature, including NDAs from countries in APJ/EMEA where required. Review and negotiate marketing and events agreements, master subcontract agreements, statements of work in support of RSA Marketing and Procurement activities in Japan and APJ/EMEA where necessary. Provide client education and training on relevant contract issues.
Responsibility 2 – Team Player
- Act as a team player along with the other members of the Legal Team. Should be flexible to work under the guidance of legal counsel within the Legal Team for deals. Be available and ready to provide timely and effective guidance to key stakeholders.
- The role requires close co-ordination with the Legal team including legal counsels and contracts managers from various jurisdictions within the APJ, EMEA and US regions.
Key Abilities/ Attributes:
5+ years of relevant contract negotiation experience. Desire and ability to work in a dynamic, fast-paced and ever-transforming environment. Ability to influence, persuade and negotiate, with written and verbal communication skills both in English and Japanese languages. Ability to assess risk and identify actions to mitigate risk. Strong commercial drafting skills, experience in reviewing, negotiating and providing pre and post-contractual support. Ability to understand the business and delivery issues and ensuring appropriate risk mitigation strategies, including issues pertaining to appropriate contracting entity, international contracting, governing law, business issues, finance issues, delivery and payment milestones, trigger for completion, etc., are clearly addressed in the contractual documents. Ability to work autonomously, adapt to changing circumstances and deliver according to strict deadlines, encourages feedback from peers and stakeholders to utilize towards continuous improvement Ability to identify opportunities for process enhancements and improvements to drive efficiency Ability to act as a general facilitator – bridging cultural/language gaps between Japanese customers and partners and global stakeholders. Ability to manage relationships with outside counsel and outside legal support.
Degree or diploma in law
Degree in other fields with at least 5 years’ contracts experience in large technology / multinational company
Preferred if the resource has a degree/diploma relating to IPR, IT, and/or Business Laws.
5+ years of work experience in contracts administration, management or as a paralegal, or relevant role in a law firm or in-house legal department, with responsibility for reviewing, drafting and negotiating standard commercial contracts; has working knowledge of contract law in Japan.
Prior experience in MNC or high-performing sales organization in the software industry will be added advantage.
Personal qualities & behavioural traits

Good written and verbal communication skills in English (business level) and Japanese (native level).
Resource should be punctual, able to meet deadlines and a quick learner.
Ability to work with varying seniority levels, including staff, managers and external partners
